User Generated Content

Payment Terms
Fees for Quiver Beacon LLC services are specified in the applicable Statement of Work, Service Agreement, or invoice provided to you prior to the commencement of work. Unless otherwise stated in a written agreement, all fees are quoted in United States Dollars (USD) and are exclusive of applicable taxes, levies, and duties. You are responsible for paying all applicable sales, use, value added, and other taxes associated with your use of the Services.
Payment terms for services are net thirty days from the date of invoice, unless different terms are specified in the applicable agreement. Late payments may be subject to interest charges at the rate of one and one half percent per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend or terminate Services if payment is not received within the agreed timeframe.
If you dispute any charge, you must notify us in writing within fifteen days of the invoice date. Failure to notify us within this period constitutes your acceptance of the charges. You agree to reimburse us for all reasonable costs and attorney fees incurred in connection with the collection of past due amounts. All payment information is processed through secure third party payment processors and is subject to applicable PCI DSS standards.
Termination
Quiver Beacon LLC may terminate or suspend your access to the Services, in whole or in part, at any time and for any reason, with or without notice. Grounds for termination include but are not limited to violation of these Terms, failure to pay fees when due, engagement in prohibited activities, or any conduct that we determine, in our sole discretion, to be harmful to our interests, other users, or third parties.
You may terminate your use of the Services at any time by ceasing to access the website and notifying us of your intent to terminate any active service agreements, subject to any early termination provisions specified in such agreements. Upon termination, you must destroy all copies of materials obtained from the Services in your possession or control. Provisions of these Terms that by their nature should survive termination, including but not limited to intellectual property, disclaimer of warranties, limitation of liability, indemnification, and governing law, shall survive any termination.
If a service agreement is terminated before completion of the agreed scope of work, you will be responsible for payment for all work performed up to the date of termination, including any non cancellable third party costs incurred on your behalf. We will provide a detailed accounting of work completed and associated fees within a reasonable timeframe following termination.

THE SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QUIVER BEACON LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Quiver Beacon LLC makes no representations or warranties regarding the accuracy, completeness, reliability, or currency of any information, content, or materials provided through the Services. Any reliance you place on such information is strictly at your own risk. We do not guarantee that any defects or errors will be corrected, or that the Services or the servers that make them available are free of harmful components.

In no event shall the aggregate liability of Quiver Beacon LLC for any claims arising out of or relating to these Terms or the Services exceed the greater of the amount you have paid to us for the Services during the twelve month period preceding the event giving rise to the claim, or one hundred United States Dollars (USD $100.00). The limitations of liability set forth in this section shall apply to the fullest extent permitted by law and shall survive any termination or expiration of these Terms.
You acknowledge and agree that the limitations of liability, disclaimers of warranties, and other provisions allocating risk in these Terms are essential elements of the basis of the bargain between you and Quiver Beacon LLC, and that we would not be able to provide the Services without such limitations.
Indemnification
You agree to indemnify, defend, and hold harmless Quiver Beacon LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys fees and court costs, arising out of or related to your use of the Services, your violation of these Terms, your violation of any applicable law or regulation, your User Content, or your infringement of any intellectual property or other right of any third party.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims. You shall not settle any claim without our prior written consent if the settlement requires us to admit liability, pay money, or take or refrain from taking any action.
This indemnification obligation shall survive any termination or expiration of these Terms and your use of the Services. We will use reasonable efforts to notify you of any claim, action, or proceeding subject to this indemnification provision promptly upon becoming aware of it.
Governing Law
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
For any disputes not subject to the arbitration provision set forth in the Dispute Resolution section below, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Summit County, Utah. You waive any objection based on improper venue or forum non conveniens to the conduct of any proceeding in any such court.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect. The failure of Quiver Beacon LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or if no agreement can be reached, appointed by the AAA. The arbitration shall take place in Summit County, Utah, or at another location mutually agreed upon by the parties.
You agree to resolve disputes on an individual basis only, and you waive any right to participate in a class action, class arbitration, or representative proceeding of any kind. The arbitrator shall have the authority to award any relief that would be available in a court of law, including injunctive relief. The arbitration award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction thereof.
Changes to Terms
Quiver Beacon LLC reserves the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make material changes, we will provide notice by posting the updated Terms on our website and updating the Effective Date at the top of this page. For significant changes, we may also notify you by email if you have provided us with your email address or through a prominent notice on our website.
